b) Briefly explain the powers of Managing Director. [5+5]

b) Briefly explain Different Types of Company Resolutions. [5+5]

4. Define the Contracts of Indemnity and Guarantee. Clarify their Points of Distinctions /
Differences. [10]

5.a) What is a Contract of Agency?
b) In how many modes a Contract of Agency can be created? Explain them briefly,
giving examples for each mode/case. [5+5]

6.a) Define Bill of Exchange.
b) Who are the Parties to Bill of Exchange?

9. Case: A Pharmaceutical Company has a Formulation Unit in the Hyderabad City. A
survey found that this Unit was responsible for heavy pollution in the city. The
Government had sent a notice to the Company ordering it to close down its
Formulation Unit. As the cost of shifting the Unit went high, the Company went to
the court against the Government Order. But the Court decided in favor of the
Government.
Question: Do you think that the Court took an ethically correct decision? If so,
why? [10]

10.a) What are the types of Common Cyber Crimes?
b) What challenges do we face with regard to Cyber Crimes in India? [5+5]
