c) Explain about Leveraging good governance for competitive advantage. [5]

2.a) Distinguish between agency theory and stewardship theory with example.
b) Give a brief about some of the major failures of corporate governance. [5+5]

3.a) State the implications of stakeholder?s theory on corporate governance.
b) "Role of corporate governance is indifferent from the country in which the
company operates". Elaborate the statement with the help of appropriate example.

4. Write about the main features of Cadbury committee report. [10]

5. Explain the outcomes of Narayana Murthy Committee Report. Discuss SEBI
Clause 49 Guidelines. [10]

6. List some of the typical requirements for corporate governance in the areas of:
